Representative Experience
• Large-Scale Infrastructure and EPC Project – Advised on a complex, high-value infrastructure project involving international contractors and public sector counterparties. We represented a major EPC company in negotiations for the award of a USD 2 billion project commissioned by a national oil company in Northern Africa, providing guidance on contractual risk allocation, regulatory compliance and transaction structure in a challenging emerging-market context.
• Government-Side PPP Advisory – Represented a governmental entity in connection with a major oil and gas PPP in Abu Dhabi. Our role included structuring the PPP arrangement, analyzing applicable legal and regulatory frameworks and supporting negotiations with private sector participants.
• PPP Legal Framework and Tender Processes – Supported analysis and development of PPP legal frameworks in Lebanon, including authoring a detailed legislative insight on the Lebanese PPP Law (Law No. 48/2017) published by Lexis Middle East. This work addressed project preparation, consultant selection, private partner procurement, risk allocation, project company structuring and dispute resolution mechanisms, reflecting the firm’s expertise in preparing tender documentation, evaluation criteria, and partnership agreements to meet international standards of transparency and competitiveness.
• Aviation and Airport-Related Experience – Advised Aéroports de Paris (ADP) on Beirut Rafic Hariri International Airport projects in the 1990s, providing guidance on local laws, aviation regulations, and public sector project structures.
• Transactional and Due Diligence Capability – Conducted legal due diligence and transaction support in cross-border and emerging-market transactions. Partner Nicolas G. Melki represented the buyer in the acquisition of an Azerbaijani company, handling due diligence, transaction documentation, and closing coordination. Partner William G. Melki advised on the sell-side of a UAE insurance brokerage merger, overseeing regulatory approvals, drafting agreements, and managing the closing process.
• Regional Expertise: Middle East and Emerging Markets – Our team has extensive experience operating in Lebanon and the broader Middle East and North Africa, advising on evolving regulatory frameworks, public procurement requirements, and project finance constraints.
